Agent & White-Label Terms

These Agent & White-Label Terms supplement our Terms of Service, Privacy Policy, and Disclaimers and apply to any real estate agent, broker, team, brokerage, or other organization (each, an "Organization") that uses CapScout to analyze properties for, brand reports to, share reports with, capture leads from, or otherwise serve clients or third parties. If these terms conflict with the general Terms for these uses, these terms control. By using these features, you accept them on behalf of yourself and your Organization.
1. Professional responsibility
You are a licensed or professional user acting in your own capacity. CapScout is a software tool that supports your work; it does not represent, advise, or broker for your clients, and it does not supervise your professional conduct. You are solely responsible for your advice, communications, recommendations, and decisions, and for compliance with your license, your code of ethics (including, where applicable, the NAR Code of Ethics), and all applicable laws. Any analysis you deliver to a client is your work product, presented under your brand and your professional judgment, not CapScout's.
2. Fair housing — acknowledgment and use restrictions
You acknowledge and agree that:
- You will comply with the Fair Housing Act and all applicable federal, state, and local fair-housing and anti-discrimination laws, and (if a REALTOR®) with Article 10 of the NAR Code of Ethics and its Standards of Practice, including the prohibition on steering and on volunteering the racial, religious, or ethnic composition of a neighborhood.
- CapScout outputs are informational signals based on financial and market fundamentals and are not a recommendation regarding any neighborhood or its residents.
- You will not use CapScout or any output to make or assist any decision about the rental, sale, financing, or availability of housing to any person, including tenant, applicant, or buyer selection or screening.
- You will not use CapScout or any output to steer, encourage, or discourage any client toward or away from any property, neighborhood, or area on the basis of — or any proxy for — race, color, religion, sex, familial status, national origin, disability, sexual orientation, gender identity, source of income, or any other protected class.
- You will not use captured lead or client data to deliver different housing information, recommendations, or content to different people on a protected basis.
- You exercise independent professional judgment over every output before sharing it; CapScout outputs are inputs to your judgment, not a substitute for it.
You are responsible for ensuring every member of your Organization complies with these obligations.
3. Client communications, leads, and consent
If you capture leads or send reports, emails, or other communications to clients or prospects through CapScout, you are the sender and controller of those communications. You represent that you have any required consent to contact each recipient and that your communications comply with anti-spam laws (including the CAN-SPAM Act and, for any text messages, the TCPA) and applicable telemarketing and privacy laws. You are responsible for honoring opt-out requests and for the accuracy of your branding and contact information. CapScout provides tools to help you communicate; it does not assume your sender obligations.
4. Branding and content
You may apply your Organization's name, logo, colors, and disclaimers to reports and shared links ("Branding"). You represent that you own or are licensed to use your Branding and that it is not misleading and does not infringe others' rights. You will not remove or obscure required legal notices, including the fair-housing and "informational only / not advice" disclaimers, from any output. We may display a neutral, non-identifying disclaimer on outputs.
5. Roles, seats, and offboarding
Owners and admins are responsible for their members' access, for assigning and removing seats, and for the lawful handling of any client or contact data they place in CapScout. When a member leaves, the Organization is responsible for reassigning or removing that member's content.
6. Billing
Team and organization plans are billed per seat and may include pooled credits and trials, as described at checkout and in the Terms. Auto-renewal, trial conversion, and cancellation terms in the Terms apply.
7. Data Processing Addendum (DPA)
This Section applies where, in providing the Service, CapScout processes personal information of your clients, leads, or contacts ("Organization Personal Data") on your behalf. For that data, your Organization is the controller and CapScout is the processor / service provider.
- Scope and instructions. CapScout will process Organization Personal Data only to provide and support the Service, in accordance with your instructions and applicable law, and not for its own commercial purposes (and, as a "service provider" under the CCPA, will not "sell" or "share" it or combine it with other data except as permitted by law).
- Confidentiality. CapScout will keep Organization Personal Data confidential and limit access to those who need it to provide the Service.
- Security. CapScout will maintain reasonable technical and organizational safeguards appropriate to the data, consistent with the New York SHIELD Act and applicable law, and will notify you without unreasonable delay after becoming aware of a breach of Organization Personal Data.
- Sub-processors. CapScout may use the sub-processors listed in our Privacy Policy (such as the hosting, email, and AI providers) to deliver the Service, under terms protecting the data, and remains responsible for their performance.
- Assistance and individual rights. CapScout will provide reasonable assistance for you to respond to individuals exercising their privacy rights and to meet your security, breach-notification, and consultation obligations.
- Return and deletion. On termination or your request, CapScout will delete or return Organization Personal Data, except where retention is required by law.
- Your responsibilities. You are responsible for the lawfulness of the data you provide, for having a lawful basis and any required notices or consents for your clients and leads, and for your instructions.
8. Indemnification
In addition to the indemnification in the Terms, you will indemnify and hold harmless CapScout and its operator from claims arising out of your or your Organization's use of the Service with clients or third parties, your communications, your Branding, your handling of client and lead data, and any violation of fair-housing, anti-spam, consumer-protection, or privacy laws.
